1. Terms and Conditions

These are the terms and conditions upon which you may use the Asante Platform and its related services herein referred to as “Asante” provided by Imara Mobile Limited here in referred to as “ Imara” the acceptance of which constitutes a binding contract between you and Imara.
When you register as a Asante user or member you agree to abide by these Conditions of Use. You therefore need to read and fully understand these Conditions.
If you do not agree to these conditions, please do not proceed to register to use the Asante services.
Asante platform is an exclusive members digital app platform where members enjoy exclusive bill discounts, earn cashback, access exclusive promotions and also earn points when they make a qualified purchase at a participating merchant store.
Accumulated cashback can be redeemed directly to your mobile money and points and gift vouchers can be redeem at the awarding merchants’ store.
Bill discounts, promotion and points accumulation are accessed by members in store when available as may be provided by a participating merchant at the prevailing time.

2. Interpretation and Definitions

The words below have meanings defined under the following definitions whether in singular or plural.

  1. “Members” means the persons who have registered to use the Asante services using the Asante platform.
  2. “Account” means your Asante account provided through the registration process.
  3. “Cashback Rewards” means the cash equivalent value of rewards you receive from a participating merchant.
  4. “Points Rewards” means the points equivalent value of rewards you receive from a participating merchant.
  5. “Bill Discount” Means the discount offered by a participating merchant.
  6. “Promotions” means goods and services offered a participating merchant at a lesser prices at a prevailing period.
  7. “Merchant” means business registered by Asante to provide Asante services to Asante members or users.
  8. “Charges” means prevailing tariffs for use of the Asante Services.
  9. “Terms and Conditions of Use” means these agreement terms and conditions of use as may be varied by us from time to time.
  10. “Cashback Balance” means the total remaining amount of cashback rewards accumulated over time.
  11. “Points Balance” means the total remaining amount of points rewards accumulated over time.
  12. “Cashback” Means cash rewards as may be rewarded by participating merchants.
  13. “Goods and Services” means such tangible and intangible items and products or brands that may be purchased or redeemed from participating merchants.
  14. “Mobile Device” means your Mobile Phone and SIM Card or other equipment which whenused together allows access to Asante Services.
  15. “Asante Services” means the services provided on the Asante Platform.
  16. “PIN” means your personal identification number being use as the secret code you choose to access and operate your Asante members account.
  17. “Login Interface” means the visual inputs through which users can access and authenticate themselves to the Asante platforms by providing valid credentials like user name and PIN/password.
3. Terms Of Usage
  1. You may register for the Asante service only if you have an active Mobile money registered SIM from GSM telecommunication operators in this jurisdiction.
  2. You will be expected to provide accurate information during your registration for the Asante services. Any person submitting any information through the Asante platform may be granted access rights to that information and is allowed access for correction of information submitted by them.
  3. We may ask a user to provide personally identifiable information that can be used to contact or identify the user. This may include Phone number, First name and last name, Usage Information, Location, Email address, Address, Country, Postal code, City.
  4. The telephone number you use to register will be your account profile user name for which you will be expected to use a secret PIN to have access to the Asante platform.
  5. Upon Registration and activation by use of your user name and PIN, you are deemed to have accepted these Conditions of Use as amended from time to time.
  6. We will not be responsible or liable for any loss whatsoever or howsoever arising as a consequence of any non-availability of the Asante services.
  7. The Asante services are not fault free. Some of the faults may occur due to slow internet and unavailability of GSM service by the telecommunications service providers which are beyond our control.
  8. You accept that we may disclose or receive personal information or documents about you from local and international law enforcement or any competent regulatory or governmental agencies to assist in the prevention, detection or prosecution of criminal activities or fraud for legal, governmental or regulatory requirement, or auditors.
  9. You agree to comply with any instructions that we may give you from time to time regarding the usage of Asante services.
  10. We may immediately suspend or terminate the provision of the Asante services without informing you and without any liability whatsoever although, we will, where possible, try to inform you that such action is or may be taken if we are aware or have reason to believe that your account is being used in an unauthorized, unlawful, improper or fraudulent manner or for criminal activities.
  11. Activities deemed suspicious on or from your accounts shall be suspended with immediate effect to prevent fraud or illegal activities.
  12. We will also close or suspend your account upon receipt of your request to close your Account.
  13. You agree to abide by the merchants rules and guidelines as will be stipulated and communicated by which ever means the merchant deem reasonable for you to qualify for rewards such as bill discounts, cash backs, points, gift vouchers, promotions and any other reward services that the merchant will be able to provide to you while using the Asante platform.
  14. You accept to pay your bills though the mobile or USSD app to qualify for the exclusive membership advantages or convenience provided by our services.
  15. Your account will be charged for use of the Asante services, hence payables will be deducted from your cashback balance or any other method as will have been communicated to you.
  16. Your points and cashback account balances will be credited whenever you receive Asante points and cashback as will be rewarded by the participating merchants.
  17. The Asante platform will confirm transaction made by way of SMS together with an updated balance of your Account. These transactions will be deemed correct unless proved otherwise.
  18. Imara reserves the right, at its sole discretion, to cancel or reverse a transaction if reasonable grounds such as errors or fraud are shown and proved that the recipient has not redeemed the the cashback or points and the reversal claim is made within seven (7) days from the transaction date.
  19. Imara Mobile Limited will not be compelled to refund or compensate a member if cashback and points are sent to a recipient mistakenly or in error or fraudulently or under duress and subsequently redeemed for goods and services from a participating merchant. You hereby then agree to hold Imara Mobile Limited harmless for any losses arising from a mistaken, or fraudulent redeemed goods and services from your account effected under duress or under coercion or criminal force.
  20. Only one mobile telephone number (User Name) and PIN Number can be used for your account and you are solely responsible for the safekeeping and proper use of your user name your PIN.
  21. You must not use the Asante Services to commit any offense contrary to the Laws of Uganda.
  22. We reserve the right to vary at any time and without prior notice to you these conditions of use or the charges. We will notify you by any way possible like by way of advertisement in a daily newspaper, SMS, push notifications or our Website. You shall be deemed to have been notified of any communication regardless of if it might have actually come to your attention.
  23. This Agreement is between you and Imara hence it will not be assigned to any other person.
  24. We are not responsible for any loss arising from any failure, malfunction, or delay in any cellphone Networks, cellphones, the Internet or terminals or any of its supporting or shared networks.
  25. We will send information/notifications to you via SMS to the registered Asante account Mobile Phone number supplied during registration.
  26. We may contact you by email, telephone calls, SMS, or push notifications. We may also contact you for the purpose of providing updates or informative communications related to the products and service functionalities, security updates, down times, news and promotional campaigns.
  27. You should send any legal notice to us at our chosen address: Imara Mobile Limited as is detailed on all our socials and web site.
  28. If you wish to discontinue use of the Asante services, you agree to pay all our expenses in recovering any amounts you owe us including legal fees, collection fees and tracing fees and any other fees that may be incurred during the recovery.
  29. You agree that your information, including your personal information and your transactions will be stored for record keeping purposes for for as long as the law permits from date of closure of your Account.
  30. All copyright, trademarks and other intellectual property rights used as part of the Asante services or contained in our documents are owned by Imara Mobile Limited.
  31. This Agreement is governed by Ugandan Law. Nothing shall prevent the parties hereto from seeking any relief from a court of competent jurisdiction in Uganda and or any other relevant regulatory body.
  32. Imara Mobile recognizes and respects your privacy rights and the importance of protecting the privacy of all information provided by you during the use of Asante services. Asante may collects personally identifiable information that we use to to create your profile to administer your individual Asante user accounts, provide user support and update Asante databases.
  33. Asante does not share your personal information with unauthorized persons. Adequate safeguards have been put in place to prevent unauthorized access to ensure confidentiality of your personal information.
  34. You acknowledge that by using the Asante Services, some of your personal information will be passed on to any person whom you share or receive cashback and points from.
  35. You acknowledge that Imara may verify your identity information through available means inorder to comply with regulatory requirements.
  36. You accept that Asante platform shall have the right to monitor your account usage and may disclose personal information to law enforcement or investigative agencies or any regulatory governmental agencies to assist in the prevention, detection or prosecution of criminal activities, fraud or money laundering.
  37. Imara employees who handle personal information are under an obligation to treat your data with utmost confidentiality. Imara Mobile Limited employees are also responsible for the internal security of the information. Employees who violate such privacy policies are subject to disciplinary actions.
  38. Where applicable, all transactions where both the the merchant and your PINs have been entered from the merchant’s POS or your mobile app to perform tasks, the transaction shall be deemed to be authorized by both the merchant and you hence both will have consented to the transaction.
